1. Intermediary Status & Marketplace Safe Harbour

• •Statutory Intermediary Shield: PriMoha operates strictly as a digital marketplace e-commerce entity. Pursuant to Section 79 of the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, the Platform functions exclusively as an intermediary connecting independent Sellers with Customers.
• •Exclusion of Liability: The Platform does not manufacture, own, validate, inspect, stock, or control the garments, textiles, designs, or sizing metrics published by Sellers. Ultimate civil and criminal liability concerning product safety, material defects, counterfeit issues, manufacturing anomalies, or advertising misrepresentations rests solely and exclusively with the respective Seller.

2. Account Creation & Dual-Verification Mandates

• •Customer Verification: Access to the transactional interfaces of the Platform requires the setup of a secure user profile verified through an Indian mobile number via a One-Time Password (OTP) framework and/or a validated email address.
• •Seller KYC Compliance: In accordance with prevailing Indian e-commerce statutory frameworks, all onboarded Sellers undergo rigorous background checks, including physical address verification, Aadhaar-linked principal identity validations, and real-time Goods and Services Tax Network (GSTN) registration authentication before catalogue activation.

3. Order Placement, Conditional Acceptance & Cancellation Rules

• •Invitation to Offer Only: All displays, catalogues, sizing suggestions, and price parameters visible on the Platform are legally structured as an "invitation to offer." An order transmission by a Customer represents a commercial offer. System-generated confirmations sent via email or SMS signify transaction logging, not contractual acceptance.
• •Unilateral Cancellation Rights: Binding contractual acceptance occurs only when the independent Seller explicitly confirms inventory reservation and triggers packaging. PriMoha retains an absolute, overriding right to unilaterally cancel any order at its sole discretion prior to delivery for reasons including inventory stockouts, logistical system failures, pricing glitches, or regional delivery restrictions.
• •Remedy Limitation: In the event of a platform-initiated cancellation, the Platform's sole obligation is to route a 100% refund of prepaid monies back to the original payment source. PriMoha is completely insulated from liability for subsequent customer dissatisfaction, emotional distress, or loss of alternative purchasing options.
• •Logistics Disclaimer: Estimated Time of Arrival (ETA) metrics are approximate algorithmic values calculated by third-party logistics networks. They do not constitute fixed chronological deadlines. The Platform assumes zero liability for delivery delays, doorstep verification errors, or failed Cash-on-Delivery (CoD) payment handling.

4. Dual-Stage Quality Control, Returns & Exchanges

• •Enforced Windows: Return or exchange eligibility windows are non-negotiable parameters detailed clearly on the specific product catalogue page at the time of purchase. Time is of the essence; the system automatically locks out requests submitted after the designated window expires.

The Two-Tier Quality Check (QC) Protocol:

1. 1.Tier 1 — Doorstep Verification: The third-party logistics representative will execute a surface-level, non-technical evaluation prior to reverse-shipment acceptance.
2. 2.Tier 2 — Seller-End Validation: Final transactional clearance and processing of refunds or exchanges are strictly contingent on a secondary, deep-tier structural check at the Seller's warehouse.

5. Dynamic Catalogue Filters & Vendor Data Custodianship

• •Filter Accuracy Limitation: Product filtering systems, classification arrays, and search queries deployed on the Platform are completely dependent on the raw metadata feeds provided by independent Sellers. PriMoha does not execute comprehensive data cleansing, exhaustive metadata auditing, or constant catalogue maintenance.
• •Aesthetic Modification Rights: The Platform acts purely as a temporary custodian of seller data for the active duration of the vendor onboarding agreement. To maintain platform visual uniformity, PriMoha reserves the right to apply minor digital touch-ups, colour-space standardisations, framing corrections, and background alterations to product imagery without altering the core functional characteristics of the underlying garment.

6. Universal Fit Engine (UFE) & Body Shape Disclaimers

• •Algorithmic Recommendations Only: The Universal Fit Engine (UFE) and associated automated sizing recommendation tools are predictive mathematical models built upon distributed anthropometric white papers and targeted sizing research for Indian populations. These outputs represent mathematical possibilities designed to assist selection, not a contractual guarantee of precise physical fit, textile drape, garment fall, or wearer comfort.
• •Body Shape Semantics & Sentiments Disclaimer: The Platform applies automated algorithms to compute perceived body contours, categorising them using standardised, universally accepted terminology. These labels are utilised strictly as data compacting mechanisms to display sizing realities in minimal text blocks. They are entirely devoid of subjective, cultural, or personal valuation. The Platform explicitly disclaims any intent to impact personal sentiment or body image through these technical classifications.

7. Biometric VTO API Integrity & User-Generated Content (UGC)

• •Privacy-First VTO Processing: The Platform's Virtual Try-On (VTO) subsystem communicates with processing engines through isolated, secure APIs. No Personally Identifiable Information (PII) is transmitted across this boundary; all images are parsed using anonymous, non-reversible token strings.
• •Sovereign Local Storage Framework: All images uploaded for VTO processing, alongside User-Generated Content (UGC) such as customer photo reviews, are retained exclusively on end-to-end (E2E) encrypted secure servers located geographically within the borders of India.
• •Content Moderation Control: Access to stored VTO maps and review media is strictly partitioned to the specific Customer who generated the asset and authorised PriMoha engineering administrators. The Platform retains absolute rights to inspect, flag, and execute immediate deletion of any user-uploaded media containing obscene, graphic, infringing, or illegal material.

8. Privacy, Data Protection (DPDP) & Payment Security (PCI-DSS)

• •Sovereign Data Protection Compliance: PriMoha handles all user metrics, biometric vectors, contact parameters, and profile details in strict compliance with the Digital Personal Data Protection (DPDP) Act, 2023. All PII data is securely localised on databases resting in India.
• •Absolute Seller Data Segregation: Onboarded Sellers have zero structural access to Customer PII. Sellers receive only anonymised, aggregated statistical sales data necessary to manage fulfilment and ledger reconciliations.
• •Financial Infrastructure Security: Payment pathways are processed entirely through certified, external PCI-DSS compliant payment gateway partners. PriMoha does not collect, record, process, or host sensitive banking information, credit card numbers, CVVs, or UPI access credentials on its servers.

9. User-Generated Content & Review Licensing

• •Loyalty Points Vesting: Base loyalty percentages (1% for final purchase, 1% bonus for zero-return transactions) and promotional incentives (1% for photo reviews detailing sizing parameters and height data) vest only upon the absolute closure of the statutory return/exchange window without pending disputes.
• •UGC Licensing: By uploading reviews containing personal images, physical data, or sizing metrics, the Customer grants PriMoha an irrevocable, worldwide, perpetual, royalty-free, sub-licensable licence to use, host, store, and display such media for sizing-engine optimisation and cross-platform marketing.
• •Audit Rights: PriMoha retains the absolute, singular discretion to strip, freeze, or cancel loyalty tallies if systemic patterns of return abuse, fraudulent evaluations, or platform manipulation are flagged.

10. Revenue Settlement, Netting & Tax Compliance

• •Reconciliation & Clearing Cycle: Financial settlements between the Marketplace and Sellers operate on a monthly periodic cycle. Transactions occurring across a calendar month will be reconciled and cleared on or before the 20th day of the subsequent month.
• •Contractual Netting Provisions: All payouts to Sellers are disbursed net of marketplace commissions, gateway fees, dynamic reversals (caused by manufacturing defects or catalogue misrepresentations), adjustments for exchange add-ons, and verified delivery penalty structures.
• •Statutory Tax Deductions: All transactions are subject to deductions at source (including Tax Collected at Source [TCS] and Tax Deducted at Source [TDS]) in strict accordance with the Central Goods and Services Tax (CGST) Act, 2017, and prevailing state tax codes.

11. Financial Indemnity Ceiling & Dispute Resolution

• •Exclusion of Consequential Losses: Under no circumstances shall PriMoha be liable for any secondary, indirect, special, or speculative claims. This explicit waiver covers any alleged loss of opportunity, reputational harm, emotional distress, mental agony, or the time value of money.
• •Grievance Redressal Structure: In accordance with the Consumer Protection (E-Commerce) Rules, all customer and vendor grievances must be formally submitted to our designated Grievance Officer. System tickets are acknowledged within 48 hours, with formal resolution trajectories mapped within 1 month of submission.

12. Governing Law & Jurisdiction

These Terms, the structural relationship between the parties, and any legal actions or transactional claims arising out of platform usage shall be governed exclusively by the laws of the Republic of India. Any legal actions, regulatory applications, or judicial suits must be initiated exclusively within the courts of competent jurisdiction located in Pune, Maharashtra, India.
